Chapter 7 - The Founder'S Buffer

Sophia did not go to Marston Private Bank.
She sent Nathan.
Her brother objected for six full minutes in a locked conference room before she convinced him that his presence there would attract less attention than hers.
"You are using me as bait," he said.
"I am using you as a shareholder with a legitimate reason to ask about family trust assets."
"That is a sophisticated way to say bait."
"You brought nine percent of the company into Adrian's boardroom without telling me."
Nathan folded his arms.
"So this is punishment."
"No."
"If it were punishment, I would send you to explain our quarterly guidance to six thousand angry employees."
Despite himself, Nathan almost smiled.
It disappeared quickly.
"What exactly am I asking?"
Sophia handed him a note written in ink.
No electronic copy existed.
"Ask whether Charles Sterling maintained a contingency trust associated with locator MSB-03-7719."
"And if they say yes?"
"Do not request access."
"Why not?"
"Because if the warning message is real, someone expects us to activate whatever process opens that account."
"And if the warning message is Adrian trying to keep us away?"
"Then your question still forces the bank to acknowledge whether the account exists."
Nathan looked at her for a long moment.
"You sound like Dad."
Sophia's face tightened.
"That is not always a compliment."
"I did not mean it as one."
He left with two independent security officers and Mara's clean phone in a signal-shielded pouch.
Sophia returned to the command room.
Daniel was reviewing old Asterion cash flows under supervision.
Every ten minutes, another problem appeared.
A supplier in Wichita demanded prepayment.
A European lender requested a call.
A government customer paused a contract modification.
Someone leaked the forged solvency review to another news outlet.
The pressure was not random.
It arrived in disciplined waves.
Sophia drew a timeline on the whiteboard.
8:59 - North Coast tender offer.
9:00 - change-of-control protection period.
9:12 - manipulated solvency review sent to lenders.
10:47 - airport camera recording disabled.
10:54 - forged succession directive signed.
11:08 - executive identity system accepted Daniel as acting CEO.
11:17 - Sophia reaches aircraft.
11:26 - Adrian removed.
11:36 - first press story published.
12:31 - aircraft lien filed.
12:52 - Teterboro services canceled.
1:14 - executive badges disabled.
2:03 - Adrian reconvenes board faction.
3:11 - revolver frozen.
The sequence looked less like reaction than choreography.
Mara stood beside her.
"He planned for you to challenge him."
Sophia nodded.
"He wanted the confrontation."
"Then why block you from the jet?"
Sophia looked at the timeline.
"Maybe he did not know I was coming."
"That would make the humiliation genuine."
"And the plan adaptable."
Mara crossed her arms.
"Adrian has many flaws."
"Improvisation is not one of them."
Sophia circled 8:59.
"This began before he saw me."
"Agreed."
"The tender offer was the trigger."
"Probably."
"Then the runway confrontation gave him a public story he could use."
"Also true."
Sophia stared at the sequence.
"But the forged resignation was already prepared."
"Which means whether you confronted him or not, someone intended to replace you today."
Daniel looked up from the table.
"Asterion has a trigger called executive discontinuity."
Sophia turned.
"Define it."
"If a designated Sterling CEO becomes incapacitated, resigns, or is removed during a control event, Asterion's trustees can transfer specified assets into temporary protective custody."
Mara frowned.
"Which assets?"
Daniel slid a page across the table.
Sophia read the list.
Three aircraft technology patents.
Two secure manufacturing subsidiaries.
A defense communications unit.
The private aviation fleet.
And certain intellectual-property licenses.
Together, the assets represented nearly half of Sterling Global's enterprise value.
"Temporary custody where?" Sophia asked.
Daniel looked embarrassed.
"Originally, into a Sterling-controlled trust."
"Originally?"
"Adrian's amendment changed the custodian."
"To whom?"
"Asterion Aviation Services."
Sophia felt the room go cold.
Mara understood first.
"The shell company he controls."
Daniel nodded.
"If the succession directive is accepted as valid and the North Coast tender offer qualifies as a control event, Adrian can argue that Asterion was triggered this morning."
Sophia stood completely still.
"He is not stealing cash."
"Not primarily," Daniel said.
"He is trying to move the crown jewels out of Sterling before anyone can stop the tender."
Mara looked at the timeline.
"And once the assets sit inside a company he controls, North Coast can acquire Sterling at a discount while Adrian negotiates the assets separately."
Daniel nodded again.
Sophia thought of Malcolm Rhyne's bridge offer.
Exclusive negotiation rights on the aerospace controls division.
The offer had not been a rescue.
It had been a preview.
"How fast can the asset transfer occur?" Sophia asked.
Daniel looked at the clock.
"If the trigger notice went out at nine, custodial transfer documents could be effective at close of business."
"Today?"
"Yes."
Sophia looked at Mara.
"Get an injunction."
"We need proof the trigger documents are actually being used."
"Daniel's testimony."
"Useful, but Adrian will say he is cooperating to save himself."
"The forged resignation."
"We still need to prove it was forged, not merely unauthorized."
Sophia looked at the glasses on the table.
"Then we need whatever my father put at Marston."
Mara checked the clean phone.
No message from Nathan.
Thirty-five minutes had passed.
Sophia tried not to watch the door.
Forty minutes.
Forty-five.
At fifty-one minutes, the phone rang.
Nathan.
Sophia answered immediately.
"What happened?"
His voice sounded controlled.
"The account exists."
"Balance?"
"They would not tell me."
"Did you ask for access?"
"No."
"Good."
"But they asked me something."
Sophia looked at Mara.
"What?"
"They asked if I was presenting the second key."
"What did you say?"
"I said I did not know what that meant."
"And?"
"The banker told me the first key was presented this morning at 8:41."
Sophia closed her eyes.
"By Adrian?"
"They would not say."
Mara leaned closer to the phone.
"Nathan, are you still inside the bank?"
"No."
"Where are you?"
"In the car."
"Do not go back to Sterling."
"Why?"
Mara looked at Sophia.
"Because if someone already presented one key, they may need yours or Sophia's to unlock the account."
Nathan was silent.
"You think I am being followed?"
Before Mara could answer, a horn sounded faintly through his phone.
Nathan cursed.
"A black SUV just moved when we moved."
Sophia stood.
"How long has it been behind you?"
"Since the bank, maybe."
"Do not try to lose it."
Nathan sounded offended.
"I was not planning a car chase."
"Good, because you were terrible at driving when you were sixteen."
"This is not the time."
"Tell your driver to stay on major roads and go to the nearest staffed police or federal building your security team selects."
Mara nodded approval.
Nathan spoke to the driver.
The phone filled with low voices and the steady sound of traffic.
Then Nathan came back.
"The SUV turned away."
"Did anyone get the plate?" Mara asked.
"Security did."
"Send it through the clean channel."
Five minutes later, independent security reported that the plate belonged to a fleet-leasing company used by dozens of corporate clients.
The renter identity had been shielded behind an intermediary account.
Sophia looked at Mara.
"Not proof of anything."
"No."
"But enough to stop treating the warning as theater."
Nathan was silent.
"You think I am being followed?"
"Assume yes."
Sophia spoke.
"Nathan, tell the driver to take you somewhere public and unpredictable."
"That is very reassuring."
"Do it."
He ended the call.
Sophia looked at Daniel.
"What qualifies as a key?"
"I never saw one."
"Could the engraving be part of it?"
"Possibly."
"Could Nathan have one without knowing?"
Daniel thought.
"Charles divided family control structures between both of you."
"He might have."
Sophia's phone vibrated again despite being off.
This time, the screen displayed an incoming calendar invitation.
No sender name appeared.
The subject line read THE TEST.
The meeting time was 6:00 p.m.
The location was Sterling House, her father's old residence in Connecticut.
Mara stared at it.
"That phone should not be receiving anything."
Sophia opened the invitation.
The body contained one sentence.
BRING WHAT YOUR MOTHER LEFT YOU, AND COME ALONE IF YOU WANT TO KNOW WHY CHARLES CHOSE ADRIAN.
Daniel stood slowly.
"Do not go."
Sophia looked at him.
"Why?"
His face had gone pale.
"Because Charles never chose Adrian."
"Then who did?"
Daniel swallowed.
"Sophia, I signed the first Asterion extension because I saw Charles's seal on it."
"I found out later that only one other person knew where he kept that seal."
Sophia waited.
Daniel looked toward the closed door as if he expected the person to walk through it.
"Your mother."
Sophia stared at him.
"My mother died twenty-one years ago."
Daniel nodded once.
"Then someone has been using a secret that should have died with her."
